Welcome to gravion. These Terms of Service ("Terms") govern your use of the gravion platform, website, and related services (collectively, the "Service") operated by gravion S.A., a company registered in Belgium with registration number 739185206 ("gravion", "we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

gravion acts as an intermediary platform and is not a party to the actual transactions between buyers and sellers. We provide the technology and services to facilitate these transactions but do not take ownership of the products or services listed on our platform.

User Obligations

As a user of the gravion platform, you agree to comply with all applicable laws and regulations and to use the Service in a responsible manner. Your obligations include:

Account Responsibilities

• Providing accurate, current, and complete information during registration
• Maintaining the security of your account credentials
• Promptly updating your account information when changes occur
• Being responsible for all activities that occur under your account

Prohibited Activities

Seller Obligations

If you are selling on the platform, you additionally agree to:

• Process orders and ship products within stated timeframes
• Maintain appropriate business licences and permits

Payment Terms

gravion facilitates payments between buyers and sellers through integrated payment processing services. Our payment terms include:

Fees and Charges

• Transaction fees as specified in your service agreement

Payment Processing

• Payments are processed by authorised third-party payment processors

gravion's Rights

• All rights, title, and interest in the Service remain with gravion
• The gravion name, logo, and trademarks are proprietary to gravion
• You may not use our intellectual property without express written permission
• We reserve all rights not expressly granted to you

User Content

You retain ownership of content you submit to the platform, including product listings, descriptions, and images. However, by submitting content, you grant gravion a worldwide, royalty-free licence to use, display, and distribute such content in connection with the Service.

Intellectual Property Infringement

We respect intellectual property rights and expect our users to do the same. If you believe that content on our platform infringes your intellectual property rights, please contact us with detailed information about the alleged infringement.

We reserve the right to remove content that violates intellectual property rights and to terminate accounts of repeat infringers.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. gravion does not warrant that:

• The Service will be uninterrupted or error-free
• The Service will meet your specific requirements
• Any defects in the Service will be corrected
• The Service is free from viruses or other harmful components

Limitation of Damages

In no event shall gravion's total liability to you for all damages exceed the amount paid by you to gravion in the twelve months preceding the claim, or €100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless gravion, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Belgium.

For consumers resident in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence.

If you are a consumer, you may also bring proceedings in the courts of your country of residence, and we may bring proceedings against you only in the courts of your country of residence.

Dispute Resolution

We encourage users to contact us first to resolve any disputes informally. If we cannot resolve a dispute through direct communication, the following procedures apply:

Mediation

Before pursuing formal legal action, parties agree to attempt resolution through mediation administered by a recognised mediation service in Belgium.

Online Dispute Resolution

For consumer disputes, you may use the European Commission's Online Dispute Resolution platform available at http://ec.europa.eu/consumers/odr/.

Class Action Waiver

To the extent permitted by applicable law, you agree that disputes will be resolved on an individual basis and you waive any right to participate in class action lawsuits or class-wide arbitration.

Termination

Either party may terminate these Terms at any time. You may terminate by closing your account and ceasing to use the Service. We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Effect of Termination

• Your right to access and use the Service will cease immediately
• We may delete your account and all associated data
• Outstanding obligations and liabilities will survive termination
• Provisions regarding intellectual property, limitation of liability, and governing law will survive

Data Retention After Termination

Following termination, we may retain certain information as required by law or for legitimate business purposes, including transaction records, dispute resolution, and compliance with legal obligations.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and gravion regarding the use of the Service and supersede all prior agreements and understandings.
